PARTIES

Charterer: The Private Jet Charter io Member (which shall include its representative(s) as applicable) making the Flight booking using private-jet-charter.io whose details are set out in a Charter Contract.

Carrier: The Aircraft Operator whose quotation for the provision of a Flight to the Charterer has been accepted by the Charterer in accordance with an Agreement and the terms of private-jet-charter.io (as applicable) as detailed in a Charter Contract.

SCOPE

Private Jet Charter io, with our online technology platform and 24-hour customer service Flight Team, acts as an interface between you (the Charterer) and our network of accredited Aircraft Operators. When booking a charter flight through Private Jet Charter io, you will enter into a direct and legally binding relationship with the aircraft operator. Throughout the booking process and during the flight, Private Jet Charter io will provide full support as an intermediary, ensuring a seamless experience from inquiry to flight with the aircraft operator.

DEFINITIONS

In these Standard Charter Terms, unless the context otherwise requires:

“Agreement” means these Standard Charter Terms, the Charter Contract, and any Special Conditions.
“Aircraft” means any aircraft (including helicopters) operated in connection with any Flight.
“Charter Price” means the total amount set out in Private Jet Charter io’s invoice(s) issued in respect of a single Agreement (which includes Private Jet Charter io’s fee for facilitating an Agreement).
“Flight” means a flight described in a Charter Contract.
“Charter Contract” means the online confirmation issued to the Charterer by private-jet-charter.io, confirming an aircraft charter and Flight details.

“Private Jet Charter io Members” refers to those persons who subscribe to use the services of Private Jet Charter io as made available through private-jet-charter.io or any mobile application provided by Private Jet Charter io.
“Private Jet Charter io Tender Process” refers to the online process by which the Charterer submits a request for fulfillment of a Flight requirement, responded to by one or more Aircraft Operators with a quotation and any Special Conditions or Charterer requirements.
“Special Conditions” means variations to the Standard Charter Terms upon which the Carrier will perform the Flight for the Charterer, taking precedence over these Standard Charter Terms in case of inconsistency.

CHARTER

2.1 The Carrier shall make available to the Charterer the Aircraft as specified in a Charter Contract, and the Charterer shall take the Aircraft on charter from the Carrier upon the terms and conditions of an Agreement, including any Special Conditions communicated during the Private Jet Charter io Tender Process.

CANCELLATION

If the Charterer wishes to cancel any Flight(s) after confirmation of the related Agreement, the following rates will be paid immediately by the Charterer to Private Jet Charter io as agreed compensation for such cancellation:

50% of the Charter Price if canceled after completion of an Agreement;
100% of the Charter Price if canceled within 2 weeks of the scheduled departure time as set out in a Charter Contract.

CHARTER PRICE AND PAYMENT

4.1 The Charterer shall pay Private Jet Charter io the Charter Price at the time, in the amount, currency, and to the address specified in a Charter Contract.

4.2 The Charter Price is based on aviation fuel costs calculated on the Booking Date. Any increase in the cost of aviation fuel between the Booking Date and the date of operation of any Flight may result in an additional payment required from the Charterer.

4.3 In case of delayed payment, the Charterer shall pay interest at the rate of 6% per annum above the base rate of Lloyds TSB Bank plc, calculated on a daily basis from the due date until the date of payment.

4.4 The Charter Price is agreed in the currency shown on the Charter Contract. On request, Private Jet Charter io may accept settlement in US Dollars, Euros, or GBP Sterling, with the conversion based on the Private Jet Charter io Exchange Rate on the date of issue of the invoice.

4.5 Payment of the Charter Price shall be made directly to the account specified by Private Jet Charter io. Full payment must be received upon receipt of the invoice to secure the aircraft, unless otherwise specified.

4.6 No set-off or counterclaim shall entitle the Charterer to withhold payment of any sums payable under or by reason of an Agreement.

4.7 The Charterer shall be responsible for reimbursing the Carrier for any de-icing costs incurred in connection with the performance of an Agreement. The Charterer may obtain a de-icing waiver for an additional fee through Private Jet Charter io.

4.8 Any changes in routing or significant changes requested by the Charterer, if accommodated by the Carrier, may result in additional costs set out in an amended or replacement Flight Confirmation.

4.9 Private Jet Charter io acts as a facilitator for Aircraft Operators and deducts a facilitation fee from the Charter Price before remitting funds to the Carrier.

4.10 Payment of sums due may be made by credit or debit card, with credit card surcharge fees being levied on all credit and debit card payments.

4.11 If the Carrier is unable to perform a Flight due to an Aircraft technical failure, Private Jet Charter io will make reasonable efforts to find a suitable replacement Aircraft and disclose any extra costs to the Charterer. If the Charterer rejects the replacement Aircraft, Private Jet Charter io may retain all sums due under these Standard Charter Terms.

4.12 Unless agreed in advance, WiFi charges are not included within the Charter Price.

4.13 If the Charterer pays the Charter Price by bank transfer within 2 weeks of the proposed date of the Flight, credit card details may be required for pre-authorization of the relevant Charter Price plus a 4% transaction fee. If the relevant payment by bank transfer is not received timely, the pre-authorized payment will be taken from the Charterer’s credit card.

4.14 Flight bookings are based on internationally recognized ICAO and IATA airport codes.

AIRCRAFT AND CREW

5.1 The Carrier shall provide the Aircraft properly manned, equipped, fuelled, and airworthy in accordance with regulations and laws.

5.2 The Carrier shall endeavor to have the Aircraft and operating personnel ready to fly 30 minutes prior to the scheduled departure time.

5.3 Private Jet Charter io shall respond promptly to Charterer communication and inform Charterers of any possible delays to a Flight schedule.

5.4 All personnel shall take orders from the Carrier unless otherwise agreed.

5.5 All Aircraft are designated non-smoking unless confirmed otherwise in writing before the Flight.

TRAFFIC DOCUMENTS

The Carrier shall supply or procure all necessary documents relating to the carriage and Flight undertaken pursuant to an Agreement, with necessary information provided by the Charterer.

FLIGHT TIMES, LOADING, AND EMBARKATION

7.1 The Charterer shall ensure passengers and baggage arrive at the specified check-in point in sufficient time to be carried on any Flight. The Carrier shall not be liable for any passenger’s failure to arrive on time.

7.2 The Charterer shall be solely responsible for any additional costs incurred in case of delay, deviation, or diversion of any Flight.

7.3 In case of refusal of entry at any destination airport, the Charterer shall indemnify the Carrier against any costs or expenses incurred as a result, including return arrangements.

7.4 Flights can be confirmed only after full payment, with the final cost subject to crew availability, permits, slots, and parking.

OBLIGATIONS OF THE CHARTERER

8.1 The Charterer shall comply with all the requirements of the Carrier and will hold harmless and indemnify the Carrier from any default.

8.2 The Charterer shall comply with all applicable customs, police, public health, immigration, and other lawful regulations.

EXCLUSION OF LIABILITY/INDEMNITY

Private Jet Charter io maintains non-owned aircraft liability insurance, and except as required by applicable regulations or in case of gross negligence or willful misconduct, Private Jet Charter io is not responsible for any claims arising from Aircraft Operator activities.

TERMINATION

Each Agreement may be terminated immediately upon written notice if the Charterer defaults in payment or behaves in a manner likely to compromise Private Jet Charter io’s reputation.

EFFECT OF DEFAULT

If an Agreement is terminated, the Charterer shall pay all amounts due and indemnify the Carrier against any losses resulting from termination.

SET-OFF AND APPLICATION OF MONEYS

Private Jet Charter io may set-off amounts paid by the Charterer against amounts due under an Agreement or any other amounts owed.

GENERAL

13.1 Any notice required to be given shall be in writing and deemed duly given if left at the address of the party or sent by first class post, email, or facsimile.

13.2 Time is of the essence in the Charterer’s performance of obligations.

13.3 Each Agreement constitutes the entire agreement between the parties.

13.4 No party has relied on any warranty or representation except as expressly stated in an Agreement.

13.5 No claims shall be made against the Carrier except where expressly contained in an Agreement.

13.6 No variation of an Agreement shall be effective unless made in writing and signed by both parties.

13.7 Commercial terms are confidential and may not be disclosed to third parties without approval.

13.8 No failure or delay in exercising rights or remedies shall operate as a waiver.

13.9 The Charterer shall not be entitled to assign the benefit of an Agreement.

13.11 Charter Contracts may be executed electronically or in multiple counterparts.

These Standard Charter Terms shall survive the termination of any Agreement.
